Greco Vitali Associati, con la socia Andrea Mangini e gli associates Dalila De Salvo, Matteo Miramondi e Giacomo De Zotti, ha assistito Intesa Sanpaolo S.p.A. nell’avvio di due Piani di Incentivazione a Lungo Termine, rispettivamente, il (i) Performance Share Plan, destinato a tutto il Management del Gruppo e (ii) il Piano LECOIP 3.0, destinato alla restante popolazione dei dipendenti.
Nell’ambito del Piano LECOIP 3.0, J.P. Morgan ha agito come controparte di ISP e come emittente dei Certificate assegnati ai dipendenti, assistita da Clifford Chance con un team composto dai soci Lucio Bonavitacola e Gioacchino Foti, dal counsel Riccardo Coassin e dal senior associate Francesco Napoli, nonché dal socio Carlo Galli per gli aspetti fiscali.
In particolare, il Performance Share Plan ha previsto l’assegnazione da parte di ISP a ciascun Manager di un certo numero di azioni ordinarie ISP, subordinatamente al raggiungimento di determinati obiettivi di performance. Le “Performance Share” saranno rivenienti da un aumento di capitale gratuito posto al servizio del Piano per massimi euro 230 milioni.
Il Piano LECOIP 3.0 ha previsto invece, tra le altre cose, l’assegnazione ai dipendenti di strumenti finanziari (c.d. “Certificate”) aventi come sottostante azioni ordinarie ISP e l’esecuzione di un aumento di capitale gratuito per un importo pari a circa euro 83 milioni e di un aumento di capitale a pagamento ad un prezzo scontato riservato ai dipendenti, per un importo pari a euro 606 milioni.
Con riguardo al piano LECOIP 3.0, in relazione ad alcuni aspetti preliminari funzionali alla programmazione e finalizzazione delle varie attività, nonché al rilascio della legal and enforceability opinion sull’operazione, ISP è stata altresì assistita da Cappelli RCCD, con i soci Michele Crisostomo e Federico Morelli e l’associate Martina Baldi.
Lo studio Greco Vitali Associati ha altresì assistito SIREF Fiduciaria S.p.A., la fiduciaria che, nel contesto del Piano LECOIP 3.0, ha agito per conto dei dipendenti del Gruppo ISP.

Our M&A team advised the shareholders of Refrion Group (a company active in the market of manufacture of industrial and commercial refrigeration, domestic air conditioning, dry coolers and condensers) in the sale of 75% of its capital to Italian listed company Lu-Ve S.p.a. Agreements signed by parties also provide for a call option granted to the purchaser to raise its stake of 25%. Value of the transaction: Euro 8,000,000 approx.
Our M&A team advised Ideanomics Inc. a U.S. global company listed on the Nasdaq in the voluntary tender offer over all the shares of Energica Motor Company S.p.a. a company previously listed on Euronext Growth Milan. Value of the transaction: Euro 60,000,000 approx.
Our M&A team advised Equilybra S.p.A., a private equity investment company focused on mid-market, in the acquisition of the majority of the corporate capital Serbios S.r.l., a company dealing with distribution of technologies and products for organic agriculture.
